Lucid Motors continues to be the center of attention in the SPAC world as the luxury EV manufacturer’s merger talks with the SPAC Churchill Capital Corp. IV (NYSE:CCIV) continue. Now, an update on the Bloomberg terminal has unleashed a fresh new wave of buying in Churchill Capital shares.
As per the Bloomberg terminal, a consortium of investors, led by the VC firm Venrock Associates, is negotiating a sale of its Lucid stake to Churchill Capital. Readers should note that Venrock Associates is one of the oldest investors in Lucid Motors, having participated in the company’s Series B financing in 2009. In that round, Lucid Motors – known as Atieva back then – raised $7.1 million from Venrock, the China Environment Fund, etc.
Now, this development has two major implications for the ongoing merger talks between Lucid Motors and Churchill Capital. First, this indicates that negotiations continue to plough ahead, thereby brightening the prospects for an eventual agreement. However, more importantly, this development cuts to the very heart of the purported valuation concerns that have been stalling these talks. We were able to glean from a number of sources that, in light of the ferocious rally in Churchill Capital shares, valuation remained a key concern between the two negotiating parties and the Saudi PIF, which retains a controlling stake in Lucid Motors. Before explaining further, readers should note that a SPAC only acquires a fraction of its target company – usually around 10 percent. Should Venrock-led consortium sell its stake to Churchill Capital, the SPAC would directly need to acquire a smaller stake in Lucid Motors while allowing for a higher overall valuation, thereby brightening the prospects for the merger. A key assumption here is that Churchill Capital is able to negotiate a very attractive price for the consortium’s stake.
Despite the promising nature of this development, investors should not get carried away as the PIF has yet to confirm the mode through which Lucid Motors’ shares would be publicly floated. The options continue to include an IPO, direct listing, a SPAC merger, and another private funding

I was shocked and asked why they couldn’t be made an exception, zero empathy.

Double edit; to clarify, this is not an issue with their message or goal, but is just a personal complaint about yet another mismanaged company being given public resources in a global pandemic.
Triple edit: they seem to finally have noticed the need for clarity and have specified in small font on their website, and Instagram. Glad they recognized the need for transparency.

If you didn’t catch the EDS Toolkit incident that happened last month, the EDS Toolkit was going to be taken down by the RCGP but after a fairly minor campaign against the decision it got a reprieve of 6 months.
In summary, paediatricians from the Royal College of Paediatrics and Child Health raised concerns about the contents of the EDS Toolkit in the summer of 2020, and in response, the Royal College of GPs considered 'all options' and concluded that a full review was required. However, due to the pandemic they didn’t have the time and resources necessary to carry it out, and so could no longer host the Toolkit and would take it down at the end of January 2021. They didn’t discuss this with EDS-UK or the makers of the Toolkit before making their decision. You can read more at the first 3 links below.
Relevantly, back in October 2020 the Royal College of Paediatrics and Child Health published a position statement on hEDS/HSD diagnosis’ in children and adolescents. The (fairly short) statement can be read at the fourth link below, but most notably it says:
‘In some young people persistent pain, with or without joint laxity or disease, leads to other disabling symptoms including sleeplessness, anxiety, reduced mobility/deconditioning, altered bowel habit, profound dizziness, nausea, blurred vision and hypersensitivity (sound, light and touch). (...) Implications for practice:
Paediatricians and adolescent physicians should use the current EDS2017 criteria to correctly diagnose hEDS (pages 17-19).
Health professionals and families should be advised that there is no clear collagen or other connective tissue abnormality underlying hEDS.
Understand that persistent musculoskeletal pain (with or without joint laxity) is known to be associated with other symptoms and signs (including altered bowel habit, profound dizziness, nausea, anxiety, blurred vision and hypersensitivity).
Clinical findings including fractures, retinal haemorrhages and extensive bruising cannot, as evidence currently stands, be attributed to hEDS. These must be investigated further to exclude other diagnoses and ensure that children are safeguarded.
All children and adolescents with hEDS, where symptoms are significant, should receive early multidisciplinary assessment and therapy within a paediatric/adolescent rehabilitative setting which encourages mobility and normal functi

The appointment notice says nothing about restrictions but apparently neither did anyone’s first dose appointments. I’m worried about taking off work and standing in line for hours to be turned away, especially because I don’t know where I’d turn to get a second dose at this point.

Expectations are high that there will be heavy losses to the SC as well based upon insider knowledge of the doctrine fits that will be in the match up. Expectations are also high, that heavy losses won't matter because 1. Insurance essentially has ended the impact of high losses and 2. The SC and friends are far better resourced than the Gen Fed. G'day Curd Nerds! I'd like to tell you about a bit of hobby drama that is not so much a tempest in a teapot as it is a bit of a ripple in a teacup. It's drama that's so small, in such a peaceful little corner of the internet that I almost hesitate to bring it here- except, the resolution has such a unique blend of petty and wholesome that I thought perhaps others might find the story diverting.
First, the Cheeseman: On youtube, there is a man whose entire channel revolves around cheese. His name is Gavin, and telling you this is not doxxing because that is literally his channel name. You can find his channel here: https://www.youtube.com/c/GavinWebber/featured However, in the spirit of not using real names (even ones so thoroughly public), I will be referring to him here as The Cheeseman.
I came across his channel in March and got hooked on his videos because literally all he uploads (aside from Q&A livestreams) is videos where he walks through cheesemaking recipes, explaining the process the whole time in a very mellow, soothing voice, and tasting videos for the cheeses he's made. His videos are very calming, and exactly what I needed because, y'know, pandemic. His channel has 251K subscribers, which is nothing to sneeze at, but also not enormous. It's also home to one of the most generally positive comments sections of any I've seen; I don't often read comments sections so it's very possible I've missed things, but generally all I see is positive comments and conversations among folks who have attempted to make the cheeses in the videos.
Next, the cheese: Grana Padano
Grana Padano is a type of Italian cheese similar to Parmigiano-Reggiano. It's a hard cow's milk cheese with a grainy, crumbly texture. It's also PDO, that is "Protected Designation of Origin", and has been since 1996. Essentially, just like champagne is only champagne if it comes from the Champagne wine region of France, otherwise it's just sparkling wine (and Destiel is only Destiel if it comes from Supernatural, otherwise it's just sparkling bury your gays), Grana Padano is only Grana Padano if it comes from the Po river valley in northern Italy, otherwise you cannot use that name to describe a cheese.

I went to The Liacouras Center last Friday but after waiting for a three hours I had to leave to work. I was unprepared. So I'm going tomorrow again they told me to go to the church (I am pre-registered) and was wondering if anyone has had any experiences there. How early should I get there? Firstly, if you read book and you're not using your London council's link to London Libraries Consortium (LLC), you're hugely missing out! I never buy books as all of the London libraries combined have the book I want to read and you can hold/order them for less than 50p (free atm due to covid) and pick them up at your local library.
However, I can never work out how to view/download the fiction Ebooks they hold on my councils link to LLC or on their direct website! Has anyone successfully done this?

I'm not on multi-player, so not sure if I personally can add to another existing base or how that works.
In which file do I need to alter these before launching the game? I know I can change them during a game with a dialogue interface but that doesn't last beyond the current session.

I’ve only heard from one of the schools (Tepper) which I think was an auto invite based on stats. I signed into Darden’s portal and it says to disregard the checklist, and also ask me to add 2 recommenders (?), so I don’t think they are done importing my app.
Others I’m waiting on are Yale and Tuck.

Here’s the run down:
Gavin Webber is an Aussie (Victorian based) who makes cheesemaking videos on YouTube. He has 250,000 subscribers. He starts his videos with his signature “G’Day Curd Nerds”. He’s a seriously top bloke and his videos are soothing to watch even if you’re not into cheese making. Americans like to refer to him as the Bob Ross of cheese making.
He made a video about making an Italian hard cheese in the style of Grana Padano. This cheese is protected in the EU as a PDO (protected designation of origin), kinda like how Champagne is. Gavin even mentions this in the video and says what he making is specifically not Grana Padano.
A cheese consortium in Italy still took issue with the video and sent a cease and desist to Gavin, alledging he was teaching people how to make counterfeit Grana Padano.
Gavin points out that he must have got the recipe scarily close for them to have sent that letter.

In the future he’ll not mention PDO cheese names. I personally vote for him to call them sparkling cheeses.
While he could probably fight it, I reckon Gav’s in a personal place where it’s just not worth it. His wife had cancer this year and that’s probably drained him a lot and so it’s not worth his time or effort.
Ironically more people are going to watch the video now than would have before the cease and desist.
